    The short answer

DIFC’s March 2026 handbook lists nil foundation registration and a USD 350 operating licence at registration and annually, plus AED 20. RAK ICC’s 2026 schedule lists AED 1,500 foundation registration or renewal and a separate AED 750 annual licence. A RAK IBC is a different vehicle, with AED 3,250 one-year incorporation and AED 3,950 renewal. These are registry fees, not complete adviser packages.

Compare the same vehicle before comparing cost

A DIFC foundation, a RAK ICC foundation and a RAK ICC international business company are distinct vehicles. A foundation comparison should not use the cheaper-looking fee of a company and imply identical governance or title eligibility. Identify the proposed legal owner before calculating setup and ongoing administration.

DIFC’s Foundations Handbook dated 30 March 2026 lists foundation registration as nil. The operating licence is USD 350 at registration and annually, plus AED 20 in knowledge and innovation fees. These are current handbook lines, not the older USD 200 or USD 1,000 figures still repeated in some descriptions.

RAK ICC’s 2026 fee schedule separately lists foundation registration at AED 1,500, renewal at AED 1,500 and an annual foundation licence of AED 750. The schedule has a high-risk foundation registration/renewal differential price of AED 8,500, subject to its note. A standard headline therefore cannot price every applicant. Professional drafting, agent, office and acquisition work require separate quotes.

The minimum governance and office requirements

DIFC’s handbook requires at least one founder, at least two council members and a registered office in DIFC. It explains routes through leased space, sharing with an affiliated DIFC entity or a registered agent. A registered agent is therefore not an unconditional requirement for every DIFC foundation.

RAK ICC requires a registered agent, a UAE registered office and minimum capital of USD 100 or equivalent for a foundation, with a council of at least two members. Its FAQ refers to the 2019 regulations amended on 31 July 2025. Compare ongoing responsibility for governance and records, not only formation invoices.

Ask counsel to diagram who can approve a sale, borrowing, replacement of council members and changes to the family arrangements. The minimum council size is not a complete governance design. The right vehicle depends on the actual family, legal objective, tax position and asset register; this article does not declare one universally preferable.

The calendar after formation and the separate title test

DIFC’s handbook calendar says licence renewal and confirmation are due on expiry and no later than 30 days afterwards. It generally gives 30 days for council, founder and beneficial-owner changes. The calendar defers to applicable legislation, so have the adviser translate it into the vehicle’s actual compliance diary.

It lists annual accounts at seven months after financial year-end where consolidated annual turnover exceeds USD 5 million and no registered agent is appointed, and nine months for other foundations. These thresholds are not evidence that every family foundation needs the same accounting service or has the same filing profile.

Neither the registry price nor a governance feature establishes direct Dubai property-title acceptance. RAK ICC itself makes foundation real estate subject to local land-registry rules. Obtain confirmation for the exact entity and property before committing. A foundation buying a DLD-registered villa is also a different registry question from a property physically registered within DIFC.

Compare continuing responsibilities, not only setup

Request a written account of ongoing administration, responsible parties and applicable costs from each adviser. Consider who will maintain the arrangement if the family’s circumstances change. A vehicle should remain understandable to the people who will manage it after the acquisition.

Keep the final record concise: objective, advice received, eligibility confirmation, selected route and outstanding conditions. We can coordinate this with the property workstream while legal and tax advice stays with the appropriately qualified professionals.

Ask advisers to explain the trade-offs in one decision note

A useful professional comparison should be understandable to the principal without removing its qualifications. Ask each adviser to address the same objective and the same intended property. The note should distinguish what the route can achieve, what depends on drafting or approval and what remains outside the scope of that adviser’s opinion.

Include the practical scenarios the family cares about. Who would authorise a future sale? What happens if a decision-maker cannot act? How would a change in the family’s plans be handled? These are questions for counsel, not claims that one vehicle has an automatic advantage.

Request a clear split between formation, acquisition work and ongoing administration. If a quoted service depends on third-party approval or another appointment, record the dependency. Cost comparisons should be based on current written scopes rather than headline setup amounts that omit continuing work.

Once the family chooses a route, keep the decision note with the property and governing records. It should explain why the choice was made and when review may be appropriate. We can keep the acquisition aligned with that decision without taking over the specialist legal or tax responsibility.

    Common questions

Is a RAK ICC company the same as a RAK foundation?

No. The 2026 fee schedule prices them separately, and their governance and property-ownership route must be reviewed separately.

Is a registered agent mandatory for every DIFC foundation?

DIFC’s handbook describes several registered-office routes, including an agent, leased office or eligible shared office. RAK ICC foundations require a registered agent.

Can I enquire on behalf of a principal?

Yes. Tell us who is enquiring and include the practical requirements you want us to consider.

Is this legal, tax or investment advice?

No. This is general guidance. Eligibility and transaction-specific advice need confirmation from qualified professionals.
