Which companies can hold Dubai property? DLD registration rules and fees

DLD’s company-registration service says foreign companies must be registered in a Dubai or Ras Al Khaimah free zone; GCC companies must be registered with Dubai’s economic department.

    The short answer

DLD’s company-registration service says foreign companies must be registered in a Dubai or Ras Al Khaimah free zone; GCC companies must be registered with Dubai’s economic department. A DLD company reference number is a prerequisite for company applications, not blanket approval of every company or foundation. The published partner fee for a company with foreign shareholders is AED 4,000 plus VAT.

The registration rule and the actual document list

DLD’s company-registration service supplies a company reference number for later real-estate service applications. Its published terms state that foreign companies must be registered in a free zone in Dubai or Ras Al Khaimah, while GCC companies must be registered with Dubai’s Department of Economic Development. The presence of a foreign-company document category does not mean an arbitrary overseas company can directly register any Dubai villa.

For a free-zone company, the service lists the licence or incorporation certificate, memorandum and articles, amendments where applicable, owner passport, residence and Emirates ID, and a licensing-authority NOC to own property for purchases. Ask the authority and transaction counsel how those requirements apply to the exact legal form and ownership chain. This is the company-service list, not a universal foundation checklist.

Keep the proposed owner’s legal name consistent across registration, the purchase contract, bank funding and authorised-signatory file. Formation, DLD company registration and the final title transfer are three different events. A fast completed registration application cannot cure an ineligible owner or an unresolved signatory authority.

DLD company registration: what the fee schedule actually says

The published service-partner fees are AED 500 plus VAT for a sole establishment, AED 2,000 plus VAT for an LLC and AED 4,000 plus VAT for a company with foreign shareholders. Amendment, addition or deletion is listed at AED 500 plus VAT. These are company-registration service lines, not incorporation packages or a special foundation tariff.

The service time is 25 to 30 minutes. That describes processing of a prepared application, not the time to incorporate an offshore entity, obtain certified documents, complete funding checks or transfer a home. The final property-sale service has its own registration charges.

For a completed AED 30 million property purchase, DLD’s published 2% buyer share is AED 600,000 and the seller’s published 2% is another AED 600,000. If the contract assigns both shares to the buyer, the percentage outlay becomes AED 1.2 million. The company-registration charge does not replace that transfer fee, and the percentage split should not be silently changed in a completion statement.

RAK companies, RAK foundations and DIFC foundations are not one route

The official RAK ICC-hosted DLD agreement announcement describes duly registered RAKICC and RAKEZ companies with natural-person shareholders, subject to documents, fees and an NOC. Corporate or mixed-shareholder cases may be approved by DLD. It does not supply an unconditional foundation-title permission.

RAK ICC’s foundation FAQ expressly makes real-estate holdings subject to local land-registry requirements. A RAK foundation’s choice of DIFC or ADGM Courts does not make it a DIFC- or ADGM-registered entity. Counsel should identify the legal owner that will appear on the relevant property register and obtain transaction-specific acceptance before a binding commitment depends on it.

The economic question is therefore not simply which structure is cheapest to set up. Explain who funds the asset, who uses it, who can authorise a sale and how ongoing governance works. We align the acquisition with counsel’s confirmed route; legal, tax and succession conclusions remain with qualified advisers.

    Prepare one coordinated document file

Ask the registering authority, counsel and funding institution for their current requirements. Assemble one coordinated file rather than sending inconsistent versions to different parties. Track the status, expiry and responsible person for each requested document.

The working file may involve entity records, governing documents, resolutions, signatory identification and funding evidence, depending on what the relevant parties request. Treat these as enquiry categories, not a declaration that every item is always mandatory or sufficient.

Before paying a non-refundable amount, settle who the intended buyer is and whether the required approvals and documents can be produced. Changing the proposed ownership late in a purchase can complicate a carefully planned transaction. The precise consequences need professional review.

    What to check

    • Exact legal name and registration jurisdiction
    • Purpose of the structure and intended property use
    • Written eligibility and document confirmation
    • Authority to sign and approve the acquisition
    • Funding route reviewed with the institution

    Think beyond the first purchase

The ownership decision should also consider ongoing administration. Ask who maintains the entity, approves future decisions, keeps records and pays the continuing costs. A structure that is manageable for a dedicated family office may be unnecessarily burdensome for another household.

Discuss succession, changes in control, future borrowing and exit with qualified advisers. Do not assume the property’s ownership form answers all inheritance or cross-border questions. The correct analysis depends on the family, governing documents and applicable law.

A useful conclusion is a written decision record: the chosen route, why it meets the objective, the confirmations relied on and the obligations that continue after transfer. We can keep that workstream aligned with the property acquisition while your advisers remain responsible for their specialist advice.

    Common questions

Does company registration guarantee title eligibility?

No. The DLD reference number enables company applications; the precise legal entity, property register, documents and transaction need acceptance.

What fee is published for a company with foreign shareholders?

DLD lists AED 4,000 plus VAT as the company-registration service-partner fee, separate from incorporation and property transfer costs.

    Who handles my enquiry?

Can I enquire on behalf of a principal?

Yes. Tell us who is enquiring and include the practical requirements you want us to consider.

Is this legal, tax or investment advice?

No. This is general guidance. Eligibility and transaction-specific advice need confirmation from qualified professionals.
